If they wanted to simplify things, it would be easy. Just release an upgrade pack with the new monsters and power cards. That would bring 1st edition owners up to speed in the simplest and straight forward way.
You're really grasping for straws at this point trying to blame Iello... "an upgrade pack with new monsters and power cards"... gee... that's about 90% of what's in 2nd Edition. Short of the cardboard gameboard, and some dice, that is what 2nd Edition is.
If a 1st Edition owner is terribly concerned about the new art, his "upgrade pack" is called 2nd Edition... if he already has 1st Edition and the original Power Up! he doesn't need the new power up... if he has 1st edition but still needs Power Up! he can buy the 2nd edition Power Up!, he's covered.
I'm not sure why you are so angry at Iello... it's a game company... they put out a nice game, they decided to later update the art and do a re-release, and they put out an expansion pack that supports both 1st and 2nd editions of their game... you seem to want to fault them no matter what they do, I don't get the beef you have with them that everything they do is an affront to world peace and order. I must have missed something.
